These terms govern the use of Kobrio, the service provided by OrchOps, S.L. (NIF B93940880). By accepting the invitation and using the app, you accept them on your own behalf or on behalf of the business you represent. Kobrio is designed for professionals and businesses, not for consumers.
1. What Kobrio is
Kobrio is a web app that lets freelancers (autónomos) and small businesses prepare and send their invoices, record their expenses, view reports and share their quarter with their adviser. It includes automatic data extraction from receipts and other documents using artificial intelligence, approximate estimates of some tax returns (modelos), reminders and exports.
2. What Kobrio does not do
- It does not issue invoices itself. Invoices are issued, numbered and registered in VERI*FACTU (the Spanish Tax Agency’s verifiable invoicing system) or, in Álava, in TicketBAI, by a certified provider (currently, Invopop or B2Brouter, depending on your business) on behalf of your business. To be able to issue invoices, you sign in the app the third-party invoicing agreement, the data processing agreement and the authorisation the provider requires, and you complete its sign-up.
- It does not provide tax, accounting or legal advice. Kobrio checks, alerts and guides; the decisions are yours, guided by your adviser.
- It does not file tax returns with the AEAT (Spanish Tax Agency). Estimates are for guidance only and do not replace the filing made by your adviser or by you.
- It does not receive your clients’ money. Payment links use your own Stripe account.
3. Access and accounts
Access is by invitation. Each person has their own account and must protect their sign-in methods; the second factor is mandatory. You decide whom you invite to your business and with what role (collaborator or adviser), and you are responsible for what those people do on your behalf. If you suspect unauthorised access, let us know as soon as possible.
4. Your obligations
- To provide accurate tax details and to review the data the app suggests (including data extracted automatically from documents) before issuing or validating.
- To use Kobrio for your business activity, lawfully, without trying to access other people’s data, bypass technical limits or overload the service.
- To have a legal basis for the data of your clients that you enter and, where applicable, their consent to send them reminders.
- To remain responsible for your tax obligations: Kobrio helps you meet them, but does not take them on for you.
5. Price and payment
- The subscription costs €75 + IVA (VAT) per month per business. Coupons or special terms are shown when you subscribe.
- Months in which you issue no invoices and record no expenses are not charged.
- The fee includes reasonable use of about 500 invoices per month. Above that, each additional invoice has a price that we will tell you before applying it.
- Payment is monthly, by card or SEPA direct debit, through Stripe. We send you an invoice for each fee.
- If a payment fails, we will let you know and, after a grace period, the business will be suspended until payment is made. In the meantime you can sign in, view and download your data.
- If we change the price, we will give you at least 30 days’ notice and you will be able to cancel before it applies.
6. Term and cancellation
The subscription is monthly and renews automatically. You can cancel your business’s subscription from the app whenever you like; cancellation takes effect at the end of the period already paid. Cancellation does not delete the data straight away: it is kept for 6 years from the end of the year of your last invoice or expense, during which you can download it in full (“Download everything”), and it is then deleted, with notices 3 months and 30 days beforehand.
We may suspend or close an account in the event of a serious breach of these terms, a security risk or a legal requirement, explaining the reason and, where possible, giving prior notice.
7. Availability and changes to the service
We work to keep Kobrio available and working well, with daily backups, but there may be interruptions due to maintenance, faults or causes beyond our control, including the providers it depends on (such as the invoicing provider or the AEAT). Kobrio evolves: we may add, change or withdraw features, and if a change significantly affects you we will notify you in advance.
8. Liability
We are liable for damage we cause by breaching these terms intentionally or negligently. We are not liable for the consequences of incorrect data that you enter or validate, for tax decisions taken on the basis of approximate estimates, or for failures of third parties beyond our control. Except in cases of wilful misconduct or gross negligence, our liability is limited to the amount you have paid for the service in the twelve months before the event giving rise to it.
9. Personal data
We process your account data as controller and the data of your clients and suppliers as processor, in accordance with the data processing agreement you sign in the app. More details in the privacy policy.
10. Intellectual property
Kobrio, its code, its design and its brand belong to OrchOps, S.L.. We grant you a right of use for as long as your subscription lasts. Your data is yours: we acquire no rights over it beyond what is necessary to provide the service to you.
11. Changes to these terms
If we change these terms, we will notify you by email or in the app at least 30 days in advance. If you do not agree, you can cancel before they come into force.
12. Governing law and jurisdiction
These terms are governed by Spanish law. For any dispute, the parties submit to the courts of the city of Madrid, unless a mandatory legal provision states otherwise.
